Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sociory and any associated services, applications, and subdomains (collectively, the "Service"), operated by Sociory ("Sociory," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account or use the Service. By using the Service, you represent that you meet this requirement.

2. Accounts

You must provide a valid email address and a unique handle to register an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

Your account may include a chosen display name, in addition to your public handle, used to identify you across the Service. Handles may not be impersonating, reserved, or otherwise misleading; we may reclaim or reject handles that violate this Section.

3. Organizations and Identities

The Service allows you to create or join Organizations and post content under shared Identities or on behalf of an Organization. If you create an Organization, you are responsible for managing its membership and for content posted under its name or any Identity within it, including content posted by other members you authorize to do so. We are not responsible for disputes between members of the same Organization or Identity.

4. User Content

"User Content" means any text, files, images, or other material you submit, post, or upload to the Service. You retain all ownership rights you have in your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and provide the Service to you and, where you choose a visibility setting of "unlisted" or "public," to others.

You are solely responsible for your User Content and represent that you have all rights necessary to submit it and that it does not violate any law or the rights of any third party.

User Content includes private messages you send through the Service. Messages are visible only to the participants of their conversation, but they are not end-to-end encrypted (see the Privacy Policy), a participant may report a conversation to us for review, and the Acceptable Use rules below apply to private messages the same as to public content.

5. Acceptable Use

Sociory is built on community, creativity, and harmony. Our Community Guidelines describe in detail what is and isn't allowed and how moderation works. In particular, you agree not to use the Service to:

6. API Keys

We may permit you to generate API keys to access the Service programmatically. You are responsible for safeguarding your API keys and for all activity performed using them. We may revoke any API key at any time if we believe it has been compromised or used in violation of these Terms.

7. Intellectual Property

The Service, including its design, code, and branding (excluding User Content), is owned by Sociory and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. You may stop using the Service and request account deletion at any time by contacting us as described below.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Sociory and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

12. Changes to the Service or Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may update these Terms from time to time; material changes will be indicated by updating the "Effective date" above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Tennessee, United States.
